Terms of Service

Promexa AI is a Software-as-a-Service platform that uses artificial intelligence to generate, schedule and automatically publish social media content (captions, hashtags, banners and images) for local service businesses to connected social-media accounts such as Facebook Pages and Instagram Business accounts.

The Service relies on third-party APIs (including but not limited to OpenAI, Meta Platforms, Razorpay and our cloud infrastructure providers). Availability and accuracy of those APIs are outside our direct control.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By signing up you confirm that you meet these requirements.

You agree to provide accurate, current information during signup and onboarding, including details about your business, services, location and contact information. You are responsible for keeping this information up to date and for safeguarding your account credentials.

You are responsible for all activity that occurs under your account. Notify us immediately at the email in section 17 if you suspect unauthorised access.

New accounts receive a 7-day free trial that includes 10 AI-generated posts and the ability to connect up to 2 social-media accounts (Facebook and/or Instagram). No payment information is required to start the trial.

At the end of the trial, AI generation is disabled until you subscribe to a paid plan. Any draft or scheduled posts created during the trial are retained for 30 days and then removed unless you subscribe.

Paid plans are described on the Pricing page. Prices are in Indian Rupees (INR) and exclusive of applicable taxes (GST), which will be added at checkout where required by law.

Subscriptions are billed in advance on a monthly or annual basis through our payment processor, Razorpay. By providing payment details you authorise us to charge the applicable fees to your chosen payment method until you cancel.

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel any time from your account's Billing page; you will retain access until the end of the current paid period.

Refunds are not provided for partial billing periods. If you believe you have been charged in error, contact us within 14 days of the charge and we will review the request in good faith.

The Service generates text and images using AI models. AI output can be inaccurate, outdated, biased, or unsuitable for a particular audience. You are solely responsible for reviewing, editing and approving AI-generated content before it is published to any social-media account.

We do not warrant that AI output is original, non-infringing, factually correct, or fit for any particular purpose. By approving AI-generated content for publication, you represent that the content complies with all applicable laws and platform policies (including those of Meta).

We may use anonymised, aggregated prompts and outputs to improve the Service. We will not use the contents of your private business profile or images to train third-party foundation models.

To enable auto-publishing you grant Promexa AI permission to access, post to and read insights from the social-media accounts you connect. We store the OAuth tokens issued by those platforms in encrypted form and use them only to perform actions you have authorised within the Service.

You may disconnect any account at any time. Doing so will revoke our access and stop further posts to that account. Posts already scheduled but not yet sent will be cancelled.

Your use of connected platforms remains subject to each platform's own terms (for example, Meta Platforms' terms for Facebook and Instagram). A platform may suspend or revoke our access independently.

You agree not to use the Service to: (a) generate, schedule or publish content that is unlawful, defamatory, obscene, hateful, discriminatory, harassing, infringing, deceptive, or that violates the rights of any third party; (b) impersonate any person or business; (c) send spam or unsolicited bulk content; (d) attempt to bypass usage limits, rate limits, or platform policies of connected social networks; (e) reverse-engineer, scrape or interfere with the Service or its underlying systems; (f) use the Service for any illegal activity or in violation of any applicable law.

We may suspend or terminate accounts that violate this section without notice. We may also remove content from our systems that we reasonably believe violates these Terms.

You retain all rights to the business information, logos, brand assets and original content you upload ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Your Content solely as necessary to operate and improve the Service.

AI-generated outputs based on Your Content are, to the extent permitted by applicable law, yours to use and publish. We make no claim of ownership over AI outputs delivered to you.

All rights in the Service itself — software, designs, trademarks, AI prompts, scheduling logic and underlying systems — remain the exclusive property of Promexa AI.

We aim for high availability but the Service is provided on a commercially reasonable best-efforts basis. We do not guarantee uninterrupted access. We may perform scheduled maintenance and will give reasonable notice where practical.

We are not liable for delays or failures caused by third-party APIs, social networks, internet outages, or other circumstances outside our reasonable control.

You may terminate your account at any time from the Settings page. Upon termination, your subscription will end at the close of the current paid period and AI generation will be disabled.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or use the Service in a way that exposes us, our partners, or other users to risk.

Following termination we will delete your personal data in accordance with the Privacy Policy, except where retention is required by law or to resolve disputes.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be error-free, that AI outputs will meet your expectations, or that auto-published posts will reach a particular audience or generate a particular result.

To the maximum extent permitted by law, our aggregate liability arising out of or related to the Service in any 12-month period is limited to the amount you paid us for the Service in that period, or INR 1,000, whichever is greater.

We are not liable for any indirect, incidental, special, consequential or punitive damages, including loss of profit, revenue, goodwill, audience, data, or business opportunity, even if we have been advised of the possibility of such damages.

You agree to defend, indemnify and hold harmless Promexa AI and its officers, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service, (c) your breach of these Terms, or (d) your violation of any law or any third-party rights.

These Terms are governed by the laws of India. Subject to applicable consumer-protection rules, the courts of Mumbai, Maharashtra shall have exclusive jurisdiction over any dispute arising from or in connection with these Terms.

We may update these Terms from time to time. Material changes will be notified by email or in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
